Terms of Service

1. Scope and Contracting Party
These Terms of Service ("Terms") apply to all consulting, advisory, intercultural training, and meeting-accompaniment services provided by Meisyg GmbH, Berger Str. 1, 40213 Düsseldorf, Germany ("Meisyg", "we", "us"). By engaging our services — whether through a signed proposal, a purchase order, or a written instruction to proceed — you ("Client") agree to these Terms.
These Terms apply to business clients (companies, partnerships, and other legal entities) only. Meisyg does not contract directly with private consumers within the meaning of §13 BGB.
2. Services and Scope of Work
Each engagement is defined in a written proposal or statement of work ("SOW") agreed between the parties. The SOW specifies deliverables, timelines, fees, and any project-specific conditions. In the event of a conflict between these Terms and an SOW, the SOW prevails.
Meisyg provides advisory and facilitation services. We do not provide legal, tax, or regulatory advice. Nothing in our deliverables should be construed as legal counsel. Clients should obtain independent legal advice for matters requiring it.
3. Fees and Payment
Fees are set out in the applicable SOW or proposal. Unless otherwise agreed:
- Invoices are due within 14 calendar days of the invoice date.
- All fees are quoted exclusive of applicable VAT. VAT is charged at the rate applicable on the invoice date under German law.
- For multi-session or project engagements, a deposit of 30% of the total fee is due upon signing. The remainder is invoiced upon project completion or as agreed in the SOW.
- Late payments accrue interest at the statutory rate under §288 BGB from the due date.
Meisyg reserves the right to pause or suspend work if invoices are materially overdue and the Client has not raised a written dispute.
4. Cancellation and Rescheduling
For individual sessions and workshops:
- Cancellation more than 10 business days before the session: no charge.
- Cancellation 5–10 business days before: 50% of the session fee applies.
- Cancellation fewer than 5 business days before, or no-show: 100% of the session fee applies.
Rescheduling requests made more than 5 business days in advance will be accommodated where possible at no additional charge, subject to calendar availability.
In the event Meisyg must cancel a session due to illness or force majeure, the session will be rescheduled at the earliest mutually convenient date. No cancellation fee applies to the Client.
5. Confidentiality
Each party agrees to treat information disclosed by the other party in connection with an engagement as confidential, and not to disclose it to third parties without prior written consent, except where required by law or where the information is already in the public domain through no fault of the receiving party.
Meisyg may reference the existence of a Client relationship for business development purposes (for example, stating that we have worked with companies in a particular sector) unless the Client requests otherwise in writing.
6. Intellectual Property
Materials developed exclusively for a Client under a specific SOW and fully paid for by the Client are owned by the Client upon receipt of full payment. General methodologies, frameworks, templates, and know-how developed by Meisyg prior to or independently of the engagement remain Meisyg's property.
Meisyg retains the right to use anonymised learnings from any engagement to improve its services, provided no confidential Client information is disclosed.
7. Limitation of Liability
Meisyg's total liability for any claim arising from an engagement is limited to the fees paid by the Client for the specific deliverable or session giving rise to the claim. Meisyg is not liable for indirect, consequential, or loss-of-profit damages.
This limitation does not apply to liability for gross negligence or wilful misconduct, or to claims under mandatory statutory provisions that cannot be excluded.
8. Force Majeure
Neither party is in breach of these Terms if performance is delayed or prevented by circumstances beyond its reasonable control, including natural events, strikes, governmental restrictions, or public health emergencies. The affected party must notify the other promptly and both parties will make reasonable efforts to find an alternative arrangement.
9. Governing Law and Jurisdiction
These Terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The courts of Düsseldorf have exclusive jurisdiction over any dispute arising from or related to these Terms or any engagement, to the extent permitted by applicable law.
10. Changes to These Terms
Meisyg may update these Terms from time to time. Changes will be posted on this page with a revised effective date. For ongoing engagements, the Terms in force at the time of the applicable SOW continue to govern that engagement unless both parties agree in writing to apply updated Terms.
